• Organization and management of all the General Assembly, Board and Board Committee meetings including preparation of agenda, recording of proceedings, approval /dissemination of minutes and maintenance of all statutory registers of all Group Companies;
• Advising and assisting the Management in review, development and implementation of appropriate policies and procedures for compliance of all applicable laws, rules and regulations including but not limited to those relating to Commercial Companies, Registration and Licensing, Listing and Corporate Governance, Taxation, International trade, Intellectual Property, Labor/Immigration, Environment etc. for group companies in accordance with best practices.
• Monitoring changes in applicable laws, rules and regulations for group companies and advising the Management and operating departments with options to address potential legal issues and advising and assisting the Board and Management on its roles and responsibilities under various law, rules and regulations governing the Group Companies;
• Liaising with regulators / legal advisers and monitoring, follow-up and reporting of all legal cases;
• Advising and assisting the Accounts/Finance and Investor Relations departments in the production and dissemination of information to Shareholders and negotiation of draft loan/ bank facility/ guarantee/ other documents from financial counterparties (banks etc.)
• Preparing or amending Constitutional documents, shareholder agreements, royalty agreements, applications for registration, letters, notices and other legal documents as may be needed for supporting the business activities and operations;
• Reviewing and opining on drafts of contracts, agreements, letters, notices, legal opinions and other legal documents as may be received by the Company.
• Maintenance and custody of key corporate documents and records for all Group Companies;
• Any other activity as may be needed to address legal and secretarial functions and assistance from time to time. Proficiency in written and spoken Arabic
Proficiency in written and spoken English
A degree in Law or Corporate Secretarial Practice from a reputed institution
7+ year experience as lawyer with an established law firm providing corporate law/ secretarial services or as company secretary/ in house lawyer with a reputed company
• Experience in dealing with international (or local) listing of companies.
Experience in closing/recovery of companies
International experience outside UAE in Asia, Europe or Africa.
Knowledge and experience in dealing with matters related to UN sanction regulations, EU sanction regulations / OFAC sanction regulations /UK Bribery Act.
